These Terms of Service ("Terms") govern your use of the website and services provided by The Valley Social Media ("we," "us," or "our"), operating as The Valley Social Media. By using our services, you agree to these Terms.
1. Services
We provide social media content creation and marketing services, including but not limited to photography, videography, editing, content strategy, and social media management. Services are delivered based on the subscription plan selected by the client.
2. Accounts
You may need to create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate and complete information when creating an account.
3. Subscriptions and Billing
- Services are offered on a month-to-month subscription basis unless a specific contract term is agreed upon in writing.
- Payments are processed through Stripe and billed on a recurring monthly cycle.
- By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
- Subscription fees are subject to change. We will provide notice of any price changes before your next billing cycle.
4. Cancellation
You may cancel your subscription at any time. See our Refund & Cancellation Policy for details on how cancellations and refunds are handled.
5. No Guaranteed Results
Social media marketing involves many variables beyond our control. While we work diligently to deliver high-quality services, we do not guarantee specific results, outcomes, follower counts, engagement rates, revenue increases, or any particular performance metrics. Past performance is not indicative of future results.
6. Intellectual Property
- Our Property: All content, designs, templates, strategies, processes, and proprietary materials created or used by us remain our intellectual property unless explicitly transferred in writing.
- Client Content: Content created specifically for your brand as part of a paid subscription is licensed to you for use on your social media channels. This license is non-exclusive and non-transferable.
- Portfolio Use: We reserve the right to showcase work created for clients in our portfolio and marketing materials unless you request otherwise in writing.
7. Client Responsibilities
As a client, you agree to:
- Provide timely access to necessary accounts, assets, and information.
- Review and approve content within reasonable timeframes.
- Ensure any materials you provide to us do not infringe on third-party rights.
- Not use our services for any unlawful purpose.
8. Limitation of Liability
To the maximum extent permitted by law, The Valley Social Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of our services.
Our total liability for any claims arising from or related to our services shall not exceed the total amount you paid to us in the three (3) months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless The Valley Social Media, its owners, employees, and contractors from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.
10. Termination
We reserve the right to suspend or terminate your account and access to our services at any time if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to our business or other clients.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Los Angeles County, California.
12. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of our services after changes constitutes acceptance of the updated Terms.
